Terms of Service

These Terms of Service (these "Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Pure Dog Talk, Inc., a corporation organized under the laws of the State of Oregon ("Pure Dog Talk," "we," "us," or "our"), and govern your access to and use of puredogtalk.com, the Pure Dog Talk podcast, our membership platforms, our seminars and events, the Club Partner Program, our shop, and all related products, services, communications, and features (collectively, the "Services").
By accessing, registering for, purchasing through, or otherwise using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services. Your continued use of the Services following any modification of these Terms constitutes your acceptance of the modified Terms.
These Terms include important provisions regarding your rights, including a binding individual arbitration provision, a class action waiver, a jury trial waiver, a limitation of liability, and an indemnification obligation. Please read these Terms carefully.
Section headings are provided for convenience only and shall not affect the interpretation of these Terms.
Definitions
For purposes of these Terms, the following capitalized terms shall have the meanings set forth below:
- "Account" means a registered user profile created on the Services, whether free or paid.
- "Club" means a breed club, all-breed club, performance club, specialty club, or comparable organization that participates in the Club Partner Program.
- "Content" means all information, data, text, audio, video, images, graphics, code, and other materials made available on or through the Services.
- "Dispute" means any dispute, claim, or controversy arising out of or relating to these Terms or the Services, whether sounding in contract, tort, statute, equity, or otherwise.
- "Marks" means the trademarks, service marks, logos, trade names, slogans, and other source-identifying indicia of Pure Dog Talk, including without limitation "Pure Dog Talk" and "The Voice of Purebred Dogs."
- "Party" or "Parties" means Pure Dog Talk and the User, individually or collectively as the context requires.
- "Seminar" means any in-person, virtual, or hybrid educational event hosted, produced, or co-produced by Pure Dog Talk.
- "Subscription" means any recurring paid Service, including without limitation Patron memberships and Club Partner Program partnerships.
- "Submitting Officer" means the individual who completes and submits a Club Partner Application on behalf of a Club.
- "User Content" means any Content submitted, transmitted, posted, displayed, or otherwise made available by a User on or through the Services, including without limitation testimonials, comments, photographs, podcast guest appearances, club submissions, form responses, and survey responses.
Acceptance and Electronic Signature
By clicking "I agree," checking a consent box, creating an Account, submitting a form, registering for a Seminar, submitting a Club Partner Application, completing a purchase, or otherwise accessing or using the Services, you (a) agree to be bound by these Terms, and (b) consent to the use of electronic records and signatures in connection with these Terms in accordance with the Electronic Signatures in Global and National Commerce Act (15 U.S.C. § 7001 et seq.) and any applicable state electronic signature statutes. Your electronic acceptance has the same legal effect as a handwritten signature.
You represent and warrant that you (i) are of legal age and full legal capacity to enter into these Terms in your jurisdiction; (ii) have the authority to bind yourself or any entity on whose behalf you accept these Terms; and (iii) have not been previously suspended or removed from the Services.
Eligibility and Account Registration
Age Requirements
You must be at least eighteen (18) years of age to register for any paid Subscription, register for a Seminar, submit a Club Partner Application, or make any purchase through the Services. Free Accounts are available to individuals at least thirteen (13) years of age, provided that any User between the ages of 13 and 17 must obtain verifiable parental or legal guardian consent prior to registration.
COPPA Compliance
The Services are not directed to children under the age of thirteen (13). Pure Dog Talk does not knowingly collect, use, or disclose personal information from children under 13 in violation of the Children's Online Privacy Protection Act (15 U.S.C. § 6501 et seq.). If we become aware that we have collected personal information from a child under 13 without verifiable parental consent, we will take prompt steps to delete such information. Parents or guardians who believe their child under 13 has provided personal information to us may contact team@puredogtalk.com to request deletion.
Account Information and Security
You agree to provide true, accurate, current, and complete information when registering for an Account, and to update such information promptly to maintain its accuracy. You are solely responsible for safeguarding your Account credentials and for all activity that occurs under your Account, whether or not authorized. You agree to notify Pure Dog Talk immediately at team@puredogtalk.com of any unauthorized use of, or other security breach involving, your Account.
Prohibition on Account Sharing
Accounts are personal to the registered User and are non-transferable. You shall not share, sell, lease, license, sublicense, or otherwise transfer your Account credentials or Account access to any other person. Pure Dog Talk reserves the right to suspend or terminate any Account that we determine, in our sole discretion, is being shared, in addition to pursuing all remedies available at law or in equity.
Termination by User
You may terminate your Account at any time by canceling any active Subscriptions through your account dashboard at puredogtalk.com/account/ and contacting team@puredogtalk.com to request Account deletion. Termination is governed by the cancellation provisions in Section 9.
Membership Terms
Pure Dog Talk offers free and paid membership tiers through the MemberPress platform.
Free Membership
Free membership is available to any individual who registers with a valid email address. Free members receive access to the podcast archive, blog, videos, events listings, and shop at standard retail pricing. No payment information is required to register a free Account.
Paid Patron Memberships
Paid Patron memberships are billed annually and renew automatically on the anniversary of the original signup date. By subscribing to a paid membership, you authorize Pure Dog Talk and our payment processor to charge the payment method on file on a recurring annual basis until you cancel in accordance with Section 9. Current Patron tiers are: Patron ($100 per year), Advanced Patron ($200 per year), and All Access Patron ($300 per year).
Patron Benefits
Patron benefits at each tier are described at puredogtalk.com/join/ and are incorporated into these Terms by reference. Pure Dog Talk reserves the right, in its sole discretion, to add, modify, supplement, or discontinue benefits at any time. Benefits in effect at the commencement of your then-current annual billing period shall be honored through the end of that billing period; subsequent renewals will reflect benefits in effect at the time of renewal.
Tier Changes
You may upgrade or downgrade your membership tier at any time through your account dashboard. Tier changes take effect immediately, and any prorated charges or credits will be applied automatically by our payment processor.
Failed Payments and Grace Period
If a payment fails, Pure Dog Talk will provide notice to your registered email address and a grace period of seven (7) days during which you may update your payment information. If payment is not successfully resolved within the grace period, Patron access shall be automatically suspended without further notice.
Club Partner Program
The Pure Dog Talk Club Partner Program is a paid annual partnership available to qualifying Clubs. By submitting a Club Partner Application and payment, the Submitting Officer enters into a binding agreement on behalf of the Club, subject to the additional terms set forth in this Section 5.
Authority to Bind the Club
By submitting payment, the Submitting Officer represents and warrants that:
- The Submitting Officer is an authorized officer, board member, or duly authorized representative of the Club with actual authority to bind the Club to these Terms;
- The Club has approved or ratified the partnership in accordance with its bylaws and governing documents; and
- If the partnership is later disputed by the Club for lack of authority, the Submitting Officer shall be personally liable for any unrefunded fees and any reasonable costs incurred by Pure Dog Talk in resolving the dispute, including attorneys' fees.
Independent Status; No Agency
Nothing in these Terms shall create or be deemed to create any agency, partnership, joint venture, employment, franchise, or fiduciary relationship between Pure Dog Talk and any Club. Each Club is an independent organization, and neither Pure Dog Talk nor the Club has authority to bind, represent, or act on behalf of the other except as expressly set forth herein.
Founding Rate
The Founding Club Partner rate is two hundred fifty dollars ($250) per year (regularly five hundred dollars ($500) per year). The Founding Rate is locked in only for Clubs whose Subscriptions remain continuously active and in good standing. If a Club's Subscription lapses, is canceled, or is terminated for any reason, the Founding Rate is forfeited, and the then-current standard rate will apply to any subsequent reactivation or new Subscription.
Annual Subscription and Renewal
Club Partner Subscriptions are billed annually on the partnership anniversary date and renew automatically until canceled in accordance with Section 9. By submitting payment, the Submitting Officer authorizes Pure Dog Talk and our payment processor to charge the designated payment method on a recurring annual basis. Renewal reminders will be sent to the registered email address prior to each billing cycle.
Included Benefits
Active Founding Club Partners shall receive the following benefits annually during each active partnership year:
- One (1) curated podcast interview with the Pure Dog Talk host;
- One (1) authority backlink and social promotion from the Pure Dog Talk website and social channels;
- Access to a curated Canva template library, including one-on-one onboarding;
- One (1) professionally produced YouTube video featuring the Club.
Pure Dog Talk reserves the right to modify the specific benefits, deliverables, and timing within reasonable parameters, provided that the overall economic value of the partnership is substantially maintained.
Additional Interviews
Founding Club Partners may request additional podcast interviews beyond the included annual interview. Each additional interview requires a non-refundable editing fee of one hundred dollars ($100) per episode, billed separately via Stripe prior to recording. The host's professional time is donated; the editing fee covers post-production costs only. Additional interviews are subject to scheduling availability and are not guaranteed.
Delivery Timelines
Pure Dog Talk shall deliver Club Partner Program benefits in good faith. Delivery timelines are estimates only and are not guaranteed. Delivery may be extended due to circumstances beyond our reasonable control, including without limitation those described in Section 25 (Force Majeure), as well as illness, travel, technical issues, scheduling conflicts, and editorial considerations. Pure Dog Talk shall communicate proactively about material delays.
Content Licensing
Pure Dog Talk shall retain all right, title, and interest in and to all podcast episodes, YouTube videos, articles, written summaries, and other Content produced as part of the Club Partner Program (collectively, "Partnership Content"). Subject to the Club's continued compliance with these Terms and continuous active partnership status, Pure Dog Talk hereby grants the Club a limited, non-exclusive, non-transferable, non-sublicensable, royalty-free, worldwide license to share, embed, link, and reference Partnership Content for the lawful, non-misleading promotion of the Club. This license terminates automatically and immediately upon termination, lapse, or cancellation of the partnership for any reason.
Trademark License
Subject to the Club's continued compliance with these Terms and continuous active partnership status, Pure Dog Talk hereby grants the Club a limited, revocable, non-exclusive, non-transferable, non-sublicensable, royalty-free, worldwide license to use Pure Dog Talk-issued partnership Marks (including badge graphics, partnership logos, and similar materials) solely to indicate active partnership status. The Club shall not:
- Use the Marks in any manner that implies ownership, control, sponsorship, endorsement, or any relationship beyond the actual partnership;
- Use the Marks to suggest Pure Dog Talk endorses any specific litter, breeding, sale, judgment, or other commercial transaction by the Club or its members;
- Use the Marks in any manner that is misleading, defamatory, derogatory, or harmful to the goodwill or reputation of Pure Dog Talk;
- Modify, alter, abbreviate, or stylize the Marks in any manner not approved in writing by Pure Dog Talk;
- Continue any use of the Marks following termination, lapse, or cancellation of the partnership.
Upon termination of the partnership for any reason, the Club shall remove all Pure Dog Talk Marks and Partnership Content from its websites, social media accounts, print materials, and any other channels within thirty (30) days. All goodwill arising from the Club's use of the Marks shall inure exclusively to the benefit of Pure Dog Talk.
Confidentiality
In the course of the partnership, the Club may receive non-public information regarding Pure Dog Talk's business operations, programming plans, rate structures, audience metrics, or other confidential information ("Confidential Information"). The Club shall (i) hold all Confidential Information in strict confidence; (ii) use Confidential Information solely for purposes of the partnership; and (iii) not disclose Confidential Information to any third party without Pure Dog Talk's prior written consent. Confidential Information does not include information that is or becomes publicly available through no breach of these Terms.
Anti-Disparagement
During the term of the partnership and for a period of one (1) year following termination, the Club and its officers, agents, and representatives shall not make, publish, or disseminate any public statement, in any medium, that disparages, defames, or is reasonably likely to harm the reputation or goodwill of Pure Dog Talk, its hosts, employees, contractors, or affiliates. This Section shall not prohibit truthful statements made in connection with legal proceedings or required regulatory disclosures.
Cancellation by Club
A Club may cancel its Subscription at any time by providing written notice to team@puredogtalk.com. Cancellation shall be effective at the end of the then-current annual billing period. Club Partner Program fees are non-refundable except as expressly provided herein or at Pure Dog Talk's sole discretion. If a Club has not yet received its annual interview at the time of cancellation, Pure Dog Talk shall use commercially reasonable efforts to deliver outstanding promised benefits before the partnership concludes.
Termination by Pure Dog Talk
Pure Dog Talk may terminate any Club Partner Subscription at any time, with or without cause, by providing written notice to the Submitting Officer. Termination shall be effective on the date specified in the notice. Where termination is without cause, Pure Dog Talk shall issue a prorated refund of the unused portion of the annual fee. Where termination is for cause, including without limitation breach of these Terms, misuse of Marks or Partnership Content, conduct that damages Pure Dog Talk's reputation, breach of community standards, or initiation of a chargeback in violation of Section 9, no refund shall be issued.
Officer Transition
If the Submitting Officer ceases to hold the role under which they signed up, the Club may transfer administrative responsibility for the partnership by providing written notice to team@puredogtalk.com identifying the successor authorized officer. Pure Dog Talk reserves the right to verify such transitions before honoring administrative changes.
Program Modification or Discontinuation
Pure Dog Talk reserves the right to modify or discontinue the Club Partner Program at any time. In the event of discontinuation, active Subscribers shall be honored at their current rate through the end of their then-current billing period and shall receive a prorated refund of the unearned portion of the annual fee.
Material vs. Immaterial Breach
For purposes of this Section 5, only a material breach by the Club shall give rise to immediate termination by Pure Dog Talk. Where the breach is immaterial or curable, Pure Dog Talk shall provide written notice and a cure period of fourteen (14) days, after which Pure Dog Talk may terminate the partnership if the breach remains uncured. Material breaches include without limitation: non-payment, misuse of Marks, breach of confidentiality, breach of anti-disparagement, fraudulent submissions, and conduct described in Sections 19 and 20.
Seminars and Events
By registering for or attending any Seminar, you agree to the additional terms of this Section 6.
Educational Purpose Only
All Seminars are provided for educational and informational purposes only. Pure Dog Talk makes no representation or warranty regarding the accuracy, completeness, applicability, or fitness for any particular purpose of any information presented. You are solely responsible for evaluating any information or recommendations and applying them to your own circumstances. Seminar Content does not constitute, and shall not be construed as, veterinary, medical, legal, financial, or other professional advice.
Assumption of Risk and Liability Waiver
You acknowledge that Seminar attendance may involve inherent risks, including without limitation risks associated with travel, on-site conditions at private residences, outdoor environments, weather, vehicle traffic, food allergens, alcohol service (where applicable), and incidental contact with animals. You voluntarily and knowingly assume all such risks and agree to release, indemnify, defend, and hold harmless Pure Dog Talk, its officers, directors, employees, contractors, agents, hosts, venue providers, and affiliates from any and all claims, demands, damages, losses, or expenses (including reasonable attorneys' fees) arising from your participation, except in cases of gross negligence or willful misconduct.
Health and Safety
You agree to:
- Conduct yourself in a responsible and safe manner;
- Refrain from attending if you are experiencing symptoms of communicable illness, particularly out of consideration for hosts whose homes may include young or immunocompromised animals;
- Comply with all posted rules, host instructions, and applicable health guidelines in effect on the date of the Seminar.
Pure Dog Talk reserves the right to deny entry, remove, or refuse service to any attendee whose conduct or condition poses a risk to the health or safety of other attendees, hosts, or animals on site. Refunds for last-minute illness shall be considered on a case-by-case basis at our sole discretion.
Recording, Filming, and Photography Consent
Pure Dog Talk reserves the right to record, film, photograph, livestream, and otherwise capture Seminars, including in audio, video, and still photographic formats. Some Seminars are filmed by third-party partners, including without limitation DOGG!T. By registering for and attending a Seminar, you grant Pure Dog Talk and its filming partners an irrevocable, perpetual, worldwide, royalty-free, fully sublicensable, and transferable right and license to record, capture, edit, reproduce, distribute, publicly perform, publicly display, transmit, broadcast, monetize, and otherwise exploit your name, voice, image, likeness, biographical information, and any submitted Content in any media now known or hereafter developed, in connection with the Seminar and its promotion. This consent operates as a release for all U.S. jurisdictions, including those requiring two-party consent for recording.
Attendees who do not wish to be filmed must provide notice to on-site Pure Dog Talk or DOGG!T staff prior to the commencement of filming. Reasonable accommodation will be made to keep non-consenting attendees out of close-up frame, however, incidental capture in wide shots or background footage may occur. Attendees may be required to sign a separate written video release at check-in.
Restriction on Reproduction
You shall not record, film, photograph, transcribe, reproduce, distribute, broadcast, or share any Seminar Content, presentations, materials, or recordings without the prior written consent of Pure Dog Talk. Personal note-taking for individual study purposes is permitted.
Modifications to Seminar
Pure Dog Talk reserves the right to modify Seminar Content, schedule, location, format, or instructors at any time. Material changes shall be communicated to registered attendees as soon as reasonably practicable.
Cancellation and No-Show Policy
Cancellation of Seminar registration is governed by Section 9. Refunds shall not be issued for no-shows or late cancellations except as expressly stated in the specific event's published refund policy.
Physical Products and Shipping
Order Acceptance
The placement of an order constitutes an offer to purchase, which Pure Dog Talk may accept or decline at our sole discretion. Pure Dog Talk reserves the right to accept, decline, or limit any order, including without limitation orders that appear fraudulent, contain pricing errors, or exceed reasonable order quantities. Any pricing or product description error in any catalog, advertisement, or website listing shall not be binding on Pure Dog Talk.
Shipping
Physical products typically ship within five to seven (5-7) business days of order confirmation. Shipping times are estimates only and are not guaranteed. Risk of loss and title for physical products shall pass to the customer upon delivery to the carrier. Pure Dog Talk shall not be liable for carrier delays, lost packages, or shipping damage; however, we shall use commercially reasonable efforts to assist customers in filing claims with the carrier.
Returns and Exchanges
Physical products may be returned within thirty (30) days of delivery for a refund of the product price (excluding original shipping charges), provided the item is unused, unworn, and in original condition with all tags attached. Return shipping is the responsibility of the customer. Personalized, custom, made-to-order, and final-sale items are non-returnable.
Defective or Damaged Products
If you receive a defective or damaged product, you must contact team@puredogtalk.com within seven (7) days of delivery, with photographic documentation of the issue. Pure Dog Talk shall arrange for a replacement or refund at our discretion.
International Orders
Where international shipping is offered, the customer is solely responsible for any import duties, taxes, customs fees, and other charges imposed by the destination country.
Payment Processing
All payments are processed by Stripe, Inc. ("Stripe") or such other third-party payment processor as we may designate. By making a purchase or initiating a Subscription, you agree to Stripe's Terms of Service (available at stripe.com/legal/consumer) and Privacy Policy. Pure Dog Talk does not store your full payment card information on our servers. All transactions are encrypted and processed in accordance with PCI-DSS standards. Pure Dog Talk shall not be liable for any delays, errors, fraud, or losses caused by Stripe or any other third-party payment processor. All amounts are stated and payable in U.S. dollars unless otherwise specified.
Refunds, Cancellation, and Chargebacks
Digital Downloads
All sales of digital downloads, including without limitation PDT Exclusive Downloads, PDT Albums, K9 First Aid 911, and Pedigrees2Pups, are final and non-refundable.
Patron Memberships
Patron membership fees are non-refundable except at Pure Dog Talk's sole discretion. To request a discretionary refund, contact team@puredogtalk.com within seven (7) days of the charge. You may cancel your Patron Subscription at any time through your account dashboard, with continued access through the end of the paid billing period.
Club Partner Program
Club Partner Program fees are non-refundable except as expressly provided in Section 5 or at Pure Dog Talk's sole discretion.
Seminars
Seminar fees are non-refundable unless otherwise stated in the specific event's published refund policy. If you are unable to attend after registering, please notify us at least seven (7) days in advance; transfer to a future Seminar may be considered at our sole discretion. Refunds shall not be issued for no-shows or late cancellations.
Refund Processing
Where a refund is granted, it shall be issued to the original payment method within thirty (30) days. Currency conversion losses, payment processing fees, and similar third-party charges are not refundable.
Chargebacks
If you initiate a chargeback or payment dispute with your bank or credit card company without first contacting Pure Dog Talk and providing a reasonable opportunity (not less than ten (10) business days) to resolve the issue, we reserve the right to:
- Permanently suspend or terminate your Account, membership, or Club Partner status;
- Pursue recovery of disputed amounts, including reasonable costs and attorneys' fees;
- Permanently bar you from accessing future Services;
- Report the chargeback to fraud-tracking databases as we deem appropriate.
Podcast Guest Appearances
By agreeing to appear as a guest on the Pure Dog Talk podcast or in any other Pure Dog Talk audio, video, or livestream production (a "Podcast Appearance"), you grant to Pure Dog Talk an irrevocable, perpetual, worldwide, royalty-free, fully sublicensable, and transferable license to:
- Record, edit, modify, reproduce, distribute, publicly perform, publicly display, transmit, broadcast, license, and monetize the Podcast Appearance in any media now known or hereafter developed;
- Use your name, voice, image, likeness, biographical information, and any submitted materials in connection with the Podcast Appearance and its promotion;
- Distribute the Podcast Appearance through any platform, including without limitation Apple Podcasts, Spotify, YouTube, Vimeo, social media platforms, and any future distribution channels;
- Create and license derivative works, including without limitation transcripts, clips, summaries, and promotional materials.
You acknowledge and agree that:
- You shall not receive compensation for your Podcast Appearance unless expressly agreed in a separate written agreement;
- You have no right of approval over the final edit, release timing, distribution channels, or commercial exploitation of the Podcast Appearance;
- You represent and warrant that all statements, claims, and Content you provide during the Podcast Appearance are truthful, accurate, and do not infringe upon any third-party rights;
- You release Pure Dog Talk, its hosts, employees, contractors, and partners from any claim arising from your Podcast Appearance, including without limitation claims for defamation, invasion of privacy, right of publicity, or emotional distress, except in cases of gross negligence or willful misconduct.
User-Generated Content
By submitting any User Content to Pure Dog Talk, you grant to Pure Dog Talk a non-exclusive, royalty-free, perpetual, irrevocable, worldwide, fully sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such User Content in any form, medium, or technology now known or hereafter developed, in connection with our Services and our marketing.
You represent and warrant that:
- You own or have all rights, licenses, consents, and permissions necessary to grant the license set forth in this Section;
- The User Content does not and will not infringe, misappropriate, or violate any third-party intellectual property right, right of privacy or publicity, or any other right;
- The User Content is accurate and not misleading;
- You have obtained all necessary consents from any individuals identifiable in the User Content (including any consents required for minors).
You agree to indemnify Pure Dog Talk for any breach of these representations in accordance with Section 24.
Intellectual Property; Reservation of Rights
The Services and all Content made available through the Services, including without limitation text, audio, video, podcasts, written articles, course materials, downloads, software, graphics, logos, trade names, and Marks, are the exclusive property of Pure Dog Talk or its licensors and are protected by United States and international intellectual property and proprietary rights laws.
Except as expressly authorized in these Terms, you shall not copy, modify, distribute, sell, lease, sublicense, decompile, disassemble, reverse-engineer, scrape, data-mine, or create derivative works from any portion of the Services or Content without the prior written consent of Pure Dog Talk. The Marks may not be used without express written permission. All rights not expressly granted to you in these Terms are reserved by Pure Dog Talk and its licensors.
DMCA and Copyright Infringement
Pure Dog Talk respects the intellectual property rights of others and complies with the Digital Millennium Copyright Act, 17 U.S.C. § 512 ("DMCA"). If you believe that any Content available on the Services infringes your copyright, you may submit a written notice to our designated DMCA Agent.
Required Elements of a DMCA Notice
A valid DMCA notice must include:
- A physical or electronic signature of the copyright owner or a person authorized to act on the owner's behalf;
- Identification of the copyrighted work claimed to have been infringed;
- Identification of the material that is claimed to be infringing or to be the subject of infringing activity, and information reasonably sufficient to permit Pure Dog Talk to locate the material;
- Information reasonably sufficient to permit Pure Dog Talk to contact the complaining party (address, telephone number, and email);
- A statement that the complaining party has a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law;
- A statement that the information in the notification is accurate, and under penalty of perjury, that the complaining party is authorized to act on behalf of the copyright owner.

Counter-Notification

Repeat Infringer Policy
Pure Dog Talk shall, in appropriate circumstances and at our sole discretion, terminate the Accounts of Users who are determined to be repeat infringers of copyright.
Sponsorship and Endorsement Disclosure
Pure Dog Talk may receive compensation, products, services, or other consideration from sponsors, advertisers, and affiliate partners whose products or services may be mentioned, recommended, featured, or linked on our podcast, blog, videos, emails, social media, or other Services. In compliance with U.S. Federal Trade Commission endorsement guidelines (16 C.F.R. Part 255), all material connections are disclosed in or near the relevant Content.
Sponsorship, advertising, and affiliate relationships do not influence our editorial standards. All recommendations reflect the genuine views of Pure Dog Talk and our hosts. Use of any sponsor's product or service is at your sole risk and is subject to the sponsor's own terms and conditions.
No Performance Guarantees
Statements regarding audience size, engagement metrics, listener counts, or historical performance are based on past data and are not guarantees of future results. Such statements are not warranties and shall not be construed as representations of expected outcomes.
Privacy and Data Handling
Your use of the Services is also governed by our Privacy Policy, available at puredogtalk.com/privacy/, which is incorporated into these Terms by reference. We collect only the personal information necessary to provide the Services and to communicate with you. Pure Dog Talk does not sell your personal information to third parties.
Where applicable law grants you specific rights with respect to your personal information (including but not limited to the rights of access, correction, deletion, and portability under the California Consumer Privacy Act, the EU General Data Protection Regulation, or other privacy laws), those rights are described in our Privacy Policy. Requests may be submitted to team@puredogtalk.com.
Electronic Communications
By creating an Account, registering for a Seminar, submitting a Club Partner Application, making a purchase, or otherwise providing your email address, you consent to receive transactional emails from Pure Dog Talk relating to your Account, purchases, registrations, partnerships, billing, and required legal notices. Transactional emails are necessary to provide the Services and are not subject to opt-out except by terminating your Account.
You may also receive marketing emails regarding new podcast episodes, events, products, and program updates. Marketing emails comply with the CAN-SPAM Act of 2003 (15 U.S.C. § 7701 et seq.). You may unsubscribe from marketing emails at any time using the unsubscribe link in any marketing email, or by contacting team@puredogtalk.com. Unsubscribing from marketing communications shall not affect your receipt of transactional emails.
Cookies and Tracking Technologies
Pure Dog Talk uses cookies, web beacons, pixel tags, and similar technologies to operate our platforms, remember preferences, analyze website traffic, and improve the Services. By using the Services, you consent to the use of these technologies. You may adjust your browser settings to disable cookies; however, doing so may affect the functionality of certain features. We may use third-party analytics services, including without limitation Google Analytics, which may have their own privacy policies governing their use of any data they collect.
Artificial Intelligence and Machine Learning
Pure Dog Talk does not currently use User Content, Podcast Appearances, or other submitted materials to train artificial intelligence or machine learning systems operated by third parties. Pure Dog Talk reserves the right to use AI and machine learning tools for internal operational purposes, including without limitation transcription, content tagging, search, and analytics. If our practices materially change in a manner that affects User rights, we shall update these Terms and notify Users in accordance with Section 28.
Acceptable Use; Prohibited Conduct
Respectful Communication
Pure Dog Talk values respectful, civil discourse. All contributors and commenters are expected to engage with others in a thoughtful and gracious manner.
Prohibited Content
You shall not submit, post, transmit, or otherwise make available any Content that:
- Is unlawful, fraudulent, threatening, abusive, defamatory, libelous, invasive of privacy or publicity rights, or otherwise objectionable;
- Is sexually explicit, pornographic, or constitutes or facilitates child sexual abuse material;
- Encourages, incites, or threatens violence, harassment, bullying, or discrimination;
- Glorifies abuse of animals, children, the elderly, or any living being;
- Contains personal, confidential, or sensitive information about another person without consent;
- Impersonates or misleadingly represents any person or entity;
- Constitutes spam, unsolicited advertising, or unauthorized promotional material;
- Infringes upon any patent, trademark, copyright, trade secret, or other proprietary right;
- Contains malicious code, viruses, or any code or content intended to damage, disable, or impair the Services.
Prohibited Behavior
You shall not:
- Solicit goods or services without our prior written consent;
- Engage in vote manipulation, including coordinating votes for podcast awards or rankings;
- Attempt to gain unauthorized access to any portion of the Services, accounts of other Users, or our systems;
- Interfere with the normal operation of the Services, including by automated means, scraping, crawling, or data harvesting;
- Create multiple Accounts to circumvent restrictions, suspensions, or terminations;
- Share Account credentials or sublicense Account access in violation of these Terms;
- Use the Services for any commercial purpose not expressly authorized in writing by Pure Dog Talk;
- Use the Services to train any artificial intelligence or machine learning model;
- Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of any portion of the Services.
Suspension and Termination
Suspension
Pure Dog Talk may, at any time and at our sole discretion, suspend your access to all or any portion of the Services, with or without notice, where we have a reasonable basis to believe that suspension is necessary to investigate suspected violations of these Terms, prevent harm to other Users, comply with legal process, or protect the integrity of the Services. Suspension is temporary and does not, by itself, terminate your Subscription.
Termination
Pure Dog Talk reserves the right, at our sole discretion, to terminate any Account, membership, Subscription, or Club Partner partnership at any time, with or without cause and with or without notice. Grounds for termination include without limitation:
- Material breach of these Terms;
- Conduct that harms other Users, our team, or our reputation;
- Failure to pay any fees when due;
- Initiation of a chargeback in violation of Section 9;
- Fraud, misrepresentation, or unauthorized use;
- Any other conduct we determine, in our sole discretion, to be harmful, unlawful, or contrary to the spirit of these Terms.
Where appropriate and at our sole discretion, we may issue a prorated refund of any unused portion of an annual Subscription. In cases of material violations, including without limitation chargebacks, abusive behavior, or breach of community standards, no refund shall be issued.
Account Inactivity
Free Accounts that remain inactive for a period of twenty-four (24) consecutive months may be deleted at our discretion. Where reasonably practicable, we shall provide email notice prior to deletion to permit reactivation.
Effect of Termination; Survival
Upon termination of your Account, your right to access the Services shall cease immediately. The following provisions shall survive any termination of these Terms: Sections 1 (Definitions), 11 (User-Generated Content), 12 (Intellectual Property), 13 (DMCA), 19 (Acceptable Use), 21 (Third-Party Services), 22 (Disclaimer of Warranties), 23 (Limitation of Liability), 24 (Indemnification), 26 (Governing Law and Arbitration), 27 (Class Action and Jury Trial Waiver), 30 (Notices), 31 (No Waiver), and 32 (Severability and Entire Agreement), and any other provisions which by their nature are intended to survive termination.
Third-Party Services and Links
The Services may contain links to or integrate with third-party websites, applications, and services, including without limitation Stripe, MemberPress, DOGG!T, Google Analytics, social media platforms, and partner organizations. Pure Dog Talk shall not be responsible for the content, privacy policies, security practices, or availability of any third-party services. You acknowledge and agree that Pure Dog Talk shall not be liable, directly or indirectly, for any damage or loss caused by your use of or reliance upon any third-party service. Your interactions with third-party services are governed solely by your agreement with such third party.
Disclaimer of Warranties
The services and all content, materials, and information provided through the services are provided "as is" and "as available," without warranty of any kind, either express, implied, statutory, or otherwise. Pure Dog Talk and its licensors disclaim all warranties, including without limitation the implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, and any warranties arising from course of dealing or usage of trade.
Pure Dog Talk does not warrant that the services will be uninterrupted, secure, or error-free, that defects will be corrected, or that the services or the servers that make them available are free of viruses or other harmful components. Your use of the services is at your sole risk. Any material downloaded or otherwise obtained through the services is accessed at your own discretion and risk, and you are solely responsible for any damage to your device or loss of data resulting from such use.
No advice or information, whether oral or written, obtained from Pure Dog Talk or through the services shall create any warranty not expressly stated in these terms.
Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Pure Dog Talk, its officers, directors, employees, agents, affiliates, partners, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, use, goodwill, or other intangible losses, arising out of or related to your use of or inability to use the services, any unauthorized access to or use of our servers or data, any content posted on or through the services, or any third-party services, even if Pure Dog Talk has been advised of the possibility of such damages.
In no event shall Pure Dog Talk's aggregate liability arising out of or related to these terms or the services exceed the greater of (a) the amounts paid by you to Pure Dog Talk in the twelve (12) months preceding the event giving rise to liability, or (b) one hundred U.S. dollars ($100.00). The foregoing limitation applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if Pure Dog Talk has been advised of the possibility of such damages.
Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above exclusions or limitations may not apply to you in full. In such jurisdictions, Pure Dog Talk's liability shall be limited to the maximum extent permitted by law.
Indemnification
You agree to defend, indemnify, and hold harmless Pure Dog Talk, Inc., its officers, directors, employees, agents, affiliates, partners, and licensors from and against any and all claims, demands, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of or access to the Services;
- Your violation or alleged violation of these Terms;
- Your violation of any third-party right, including without limitation any intellectual property right, privacy right, or publicity right;
- Any User Content you submit, transmit, post, or otherwise make available through the Services;
- Any breach of your representations and warranties under these Terms.
Pure Dog Talk reserves the right, at its own expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, in which case you agree to cooperate with our defense. You shall not settle any matter for which you are required to indemnify Pure Dog Talk without our prior written consent.
Force Majeure
Neither Party shall be liable for any failure or delay in the performance of any obligation under these Terms (other than payment obligations) caused by circumstances beyond such Party's reasonable control, including without limitation acts of God, natural disasters, pandemics, epidemics, government orders, war, civil unrest, terrorism, labor disputes, internet or telecommunications outages, hosting or platform provider failures, supply chain disruptions, or cyber attacks. The affected Party shall use commercially reasonable efforts to resume performance as soon as practicable.
Governing Law; Arbitration
These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, United States, without regard to its conflict of law principles or the United Nations Convention on Contracts for the International Sale of Goods. The Parties agree that any Dispute shall be resolved exclusively through final and binding individual arbitration administered in the State of Oregon by the American Arbitration Association ("AAA") in accordance with the AAA Consumer Arbitration Rules then in effect, except that:
- Either Party may seek injunctive or equitable relief in a court of competent jurisdiction to protect intellectual property rights, confidential information, or to enforce the trademark license terms;
- Either Party may bring a Dispute in small claims court if the Dispute qualifies for adjudication in such court;
- The arbitrator shall apply the substantive law of the State of Oregon.
Judgment on the arbitration award may be entered in any court having jurisdiction. The seat of arbitration shall be Oregon, and the language of arbitration shall be English. Each Party shall bear its own costs in the arbitration except as otherwise allocated under the AAA Consumer Arbitration Rules.
Reduced Statute of Limitations
Any claim arising out of or relating to these Terms or the Services must be filed within one (1) year after the cause of action accrues, or such claim shall be permanently barred to the maximum extent permitted by law.
Class Action and Jury Trial Waiver
You and Pure Dog Talk agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. Unless both parties expressly agree in writing, the arbitrator may not consolidate the claims of more than one person and may not preside over any form of class or representative proceeding.
You and Pure Dog Talk also waive any right to a trial by jury for any dispute that proceeds in court, including without limitation disputes for which injunctive or equitable relief is sought to protect intellectual property rights or for which arbitration is otherwise unavailable.
If any provision of this Section 27 is found unenforceable, the unenforceable provision shall be severed and the remainder of these Terms shall continue in effect; provided that, if the class action waiver set forth in this Section is found to be unenforceable as a whole, then the entire arbitration provision in Section 26 shall be unenforceable and the Parties may pursue their Dispute in a court of competent jurisdiction in the State of Oregon.
Modifications to These Terms
Pure Dog Talk reserves the right to modify these Terms at any time. We shall notify Users of material changes by:
- Sending an email to the address associated with your Account, where one exists;
- Posting an updated effective date at the top of this page; and
- Displaying a notice on our website for at least fourteen (14) days before the change takes effect.
Your continued use of the Services following the effective date of any material change shall constitute your acceptance of the modified Terms. If you do not agree to a modification, your sole and exclusive remedy is to terminate your Account before the effective date of the change.
Assignment
You shall not assign or transfer these Terms or any of your rights or obligations hereunder, in whole or in part, without our prior written consent. Any purported assignment in violation of this Section shall be null and void. Pure Dog Talk may freely assign or transfer these Terms, in whole or in part, including in connection with a merger, acquisition, sale of assets, or by operation of law. Subject to the foregoing, these Terms shall be binding upon and inure to the benefit of the Parties and their respective successors and permitted assigns.
Notices
Except as otherwise expressly set forth in these Terms, all notices, demands, or consents required or permitted hereunder shall be in writing and sent (a) by email to team@puredogtalk.com (in the case of notices to Pure Dog Talk) or to the email address associated with your Account (in the case of notices to you), or (b) by certified mail or nationally recognized overnight courier to the registered business address of Pure Dog Talk, Inc. Notices shall be deemed given upon the date of delivery or, in the case of email, upon transmission absent any error or undeliverable response.
No Waiver; Cumulative Remedies
The failure of Pure Dog Talk to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver of any provision of these Terms shall be effective unless in writing and signed by an authorized representative of Pure Dog Talk. Any waiver in a particular instance shall not constitute a waiver in any future instance. The rights and remedies of Pure Dog Talk under these Terms are cumulative and in addition to any other rights and remedies available at law or in equity.
Severability; Entire Agreement
If any provision of these Terms is held by a court or arbitrator of competent jurisdiction to be unlawful, void, or unenforceable, that provision shall be deemed severed and the remaining provisions of these Terms shall continue in full force and effect.
These Terms, together with our Privacy Policy and any other policies, agreements, or addenda expressly incorporated by reference, constitute the entire agreement between you and Pure Dog Talk regarding your use of the Services and supersede any prior or contemporaneous understandings, communications, representations, or agreements, whether written or oral, regarding the subject matter hereof. There are no third-party beneficiaries to these Terms.
